Terms of Service
Version 2.0 — Effective March 14, 2026
1. Introduction
Welcome to xduty (“Platform”, “we”, “us”). xduty is an online scheduling and coordination platform that connects off-duty law enforcement officers (“Officers”) with scheduling coordinators (“Coordinators”) and the companies they serve (“Companies”). xduty provides the technology for contract management, shift scheduling, roster management, and workforce coordination. xduty does not employ Officers — Officers are independent contractors whose work agreements are with the Coordinator and/or Company directly.
By creating an account, subscribing to a plan, creating a contract, or claiming a shift, you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
2. Definitions
- Coordinator — A user who manages off-duty contracts, officer rosters, and shift scheduling on behalf of one or more Companies. Coordinators subscribe to a plan (Free, Pro, or Pro+) to access platform features.
- Officer — An off-duty law enforcement officer who claims and works shifts created by Coordinators.
- Company — A business entity that hires Coordinators to manage their off-duty security staffing needs.
- Contract — A work agreement created by a Coordinator, specifying positions, shift dates, times, locations, and hourly rates.
- Shift — An individual work assignment generated from a Contract, with a specific date, time, and location.
- Claim — An Officer’s binding acceptance of a Shift assignment.
- Fill Board — A marketplace feature where Coordinators post unfilled shifts for Officers outside their roster to request.
- Direct Payment — Compensation paid by the Coordinator directly to Officers (via check, 1099, or cash) outside the Platform. xduty does not process, guarantee, or mediate officer compensation.
3. Account Registration
You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized access to your account.
Officers may be required to complete identity verification through Stripe Identity before accessing certain platform features. By completing verification, you consent to the collection and processing of your government-issued identification for the purposes of identity confirmation and TCOLE license verification.
4. Coordinator Plans & Subscription Billing
Subscription Plans: Coordinators may choose from three plan tiers: Free, Pro ($29/month), and Pro+ ($79/month). Each tier provides different levels of access to platform features, including contract limits, roster sizes, and Fill Board pricing. Plan details and current pricing are available on the Platform’s pricing page.
Billing: Paid plans (Pro and Pro+) are billed monthly via Stripe. By subscribing, you authorize recurring charges to your payment method on file. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you will retain access to paid features until then. Upon cancellation, your account will revert to the Free plan.
Officer Compensation: Officers are paid directly by the Coordinator via check, 1099, or cash. xduty does not process, guarantee, or mediate officer compensation. Payment terms, timing, and method are between the Coordinator and Officer.
5. Fill Board
Posting Shifts: Coordinators may post unfilled shifts to the Fill Board, making them visible to Officers in the same county who are not already on the contract. Officers may request to fill posted shifts, subject to Coordinator approval (manual or automatic).
Fill Board Fees: A per-post fee may apply based on the Coordinator’s plan tier (Free: $5/post, Pro: $3/post, Pro+: no fee). Fees are charged to the Coordinator’s payment method on file at the time of posting. Fill Board fees are non-refundable once a posting is created.
Officer Obligations: Officers approved for a Fill Board shift are bound by the same obligations as directly invited Officers, including the shift attendance and drop policies described in these Terms.
6. Cancellation & Refund Policy
No-Refund Policy
All subscription payments are non-refundable. Subscriptions may be cancelled at any time, but no refunds will be issued for the current or previous billing periods. Fill Board posting fees are non-refundable once a posting is created.
By subscribing to a paid plan or posting to the Fill Board, you acknowledge and agree to this no-refund policy. This policy is a material term of your agreement with xduty.
7. Contract Creation & Binding Obligations
Coordinators: When you create and publish a contract, you are entering a binding agreement to compensate Officers at the specified hourly rate for all shifts claimed. You represent that the contract details (location, dates, times, responsibilities, and rates) are accurate and complete.
Officers: When you claim a shift, you are entering a binding commitment to appear at the specified location and time and perform the described duties for the duration of the shift. Failure to fulfill a claimed shift may result in account restrictions.
Each contract creation and shift claim is recorded with your IP address, timestamp, and browser information as evidence of your consent and acknowledgment.
8. Shift Drop Policy
Officers may drop a claimed shift more than 14 days before the shift date. Drops within 14 days of the shift require Coordinator approval via a drop request. Frequent drops or no-shows may result in account limitations or removal from rosters.
9. Time Certification & Accuracy
Officers must certify their actual arrival and departure times after completing a shift. Time certifications are binding statements of hours worked. Intentionally falsifying time entries constitutes fraud and may result in immediate account termination.
10. Dispute Resolution
Any disputes arising out of or relating to these Terms, your use of the Platform, or any contract or shift shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, conducted in Travis County, Texas.
Class Action Waiver: You agree that any claims will be brought individually and not as part of a class action, consolidated action, or representative proceeding.
Chargeback Notice: Filing a chargeback or payment dispute with your bank or card issuer instead of resolving the matter through this dispute resolution process may result in account suspension and collection action for the disputed amount plus applicable fees.
11. Limitation of Liability
xduty provides a scheduling and coordination platform. We do not employ Officers, and Officers are independent contractors responsible for their own conduct, licensing, and insurance. xduty is not a party to work agreements between Coordinators, Companies, and Officers. xduty does not process or guarantee officer compensation — all payments are handled directly between Coordinators and Officers.
To the maximum extent permitted by law, xduty’s total liability for any claim arising out of your use of the Platform shall not exceed the total fees paid by you to xduty in the twelve (12) months preceding the claim.
xduty is not liable for any indirect, incidental, consequential, or punitive damages, including lost profits, loss of data, or business interruption.
12. Indemnification
You agree to indemnify and hold harmless xduty, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law.
13. Modifications to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Effective” date. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
